License Terms

These License Terms govern your use of Assets purchased or downloaded from our Services. By purchasing, downloading, accessing, or using an Asset from the Services, you agree to be bound by these License Terms.

Any capitalized terms not defined herein are defined within the Terms of Service.

1. Summary of License Types

We offer three (3) types of Licenses, summarized following:

Each License applies only to the specific Asset purchased or downloaded under that License.

A License give you the non-transferable right to use the Asset under the restrictions of the particular License type; it does not transfer ownership of the original Asset or its source files, authorship, or intellectual property rights.

2. Meaning of “Website,” “Project,” and “End Product”

A “Website” refers to a single live website for the same brand or product on a single domain, including subdomains of the same domain, but not including development, testing, preview, or staging environments for that same, single live website.

A “Project” refers to a single final, customized work created using an Asset, such as a project for a client, presentation, marketing material, application interface, or other similar finished work.

An “End Product” refers to a single product for sale that incorporates an Asset, but does not derive most of its value from the Asset, such as a mug printed with a design that incorporates an Asset.

3. Meaning of “Non-commercial Use”, “Commercial Use”, and “Personal Use”

“Non-commercial use” is defined as use for personal purposes that does not: (a) involve any exchange of money or other consideration, (b) result directly or indirectly in financial gain or receipt of other consideration through use of an Asset, or (c) promote a business, brand, product, or service. If any one or more of the criteria in (a), (b), or (c) are met, then the use is commercial, and cannot be deemed non-commercial use.

“Personal use” is synonymous with “non-commercial use”, and may be used interchangeably in the License Terms.

“Commercial use” is defined as use that: (a) involves any exchange of money or other consideration, (b) results directly or indirectly in financial gain or receipt of other consideration through use of an Asset, or (c) promotes a business, brand product, or service. If any one or more of the criteria in (a), (b), or (c) are met, then the use is commercial, and cannot be non-commercial use.

4. Personal License

A Personal License grants the single natural person who purchases or downloads an Asset, the right to use a Licensed Asset for unlimited personal, non-commercial use within any other restrictions stipulated herein. Any commercial use of an Asset under a Personal License is strictly prohibited.

5. Commercial License

A Commercial License grants the single natural person who purchases or downloads an Asset, or their employer if they are acting on behalf of their employer and with their employer’s authorization, the right to use a Licensed Asset for commercial and non-commercial purposes within the usage limits stated following and within any other restrictions stipulated herein. If the person is acting on behalf of their employer, the Asset is Licensed to the employer.

A single Commercial License may be used for a combined total of five (5) Websites, Projects, or End Products with no limitations on number of views of a Website or Project, and no limitations on number of sales of an End Product. The Commercial License may be applied to any combination of Websites, Projects, and End Products that totals five (5).

6. Agency License

An Agency License grants the single natural person who purchases or downloads an Asset, or their employer if they are acting on behalf of their employer and with their employer’s authorization, the right to use a Licensed Asset for commercial and non-commercial purposes within the usage limits stated following and within any other restrictions stipulated herein. If the person is acting on behalf of their employer, the Asset is Licensed to the employer.

A single Agency License may be used for a combined total of thirty (30) Websites, Projects, or End Products with no limitations on number of views of a Website or Project, and no limitations on number of sales of an End Product. The Agency License may be applied to any combination of Websites, Projects, and End Products that totals thirty (30).

7. Additional Licenses

If you need to use an Asset beyond the permitted usage limits or other restrictions of the current License, you must purchase an additional License. Examples of situations in which an additional License must be purchased include, but are not limited to, if:

  • an Asset is under a Personal License and you need to use it for commercial purposes, you need to purchase a Commercial License or Agency License;
  • you need to use an Asset under a Commercial License for a sixth time, you need to purchase another Commercial License or an Agency License;
  • you need to use an Asset under an Agency License a thirty-first time, you need to purchase another Agency License or a Commercial License.

8. No Resale or Redistribution of Assets

Assets are licensed for use in final customized works, not for resale or redistribution. You are not permitted to:

  • resell an Asset;
  • redistribute an Asset for free;
  • make an Asset available for others to reuse, download, extract, or copy;
  • resell or redistribute a modified version of an Asset as a stock item, template, theme, plugin, source code file, or other asset;
  • upload an Asset to another marketplace or stock website;
  • resell or redistribute an Asset in an asset library, theme collection, template library, downloadable bundle or kit.

9. Restrictions on SaaS, Website Builders, Template Builders, Print-on-Demand

You are not permitted to use an Asset in a way that allows others to download, create, generate, modify, customize, or export items such as websites, templates, graphics, logos, designs, or source files from an Asset, including but not limited to, in:

  • print-on-demand tools;
  • download-on-demand tools;
  • website builders;
  • template builders;
  • app builders;
  • SaaS template libraries;
  • design generators;
  • AI design generators;
  • logo generators;
  • template generators;
  • theme generators;
  • stock website or marketplace products.

10. Other Prohibited Uses

You are not permitted to:

  • falsely claim ownership or authorship of an Asset;
  • remove copyright, attribution, or license notices where legally required;
  • use an Asset in excess of the usage limits permitted by the License;
  • use an Asset in a way that violates the law, third-party rights, or this Agreement.

11. Third-Party Items and Dependencies

Some Assets may include or require third-party products, services, frameworks, libraries, fonts, or images. Third-party items may have their own fees, licensing, restrictions, usage limits, attribution requirements, or account requirements. You are solely responsible for abiding by any third-party item requirements that apply to your use. We do not guarantee that any third-party items shown in demos or on product listings are included, unless the product description explicitly states that they are.

12. Open-Source Components

Some Assets may include open-source licensed components. Open-source components remain subject to their own licensing. Nothing in the License Terms removes existing open-source license obligations. You are required to follow applicable open-source license terms regarding use, licensing, distribution, redistribution, attribution, and any other terms. Where the License Terms conflict with a component’s open source license, the open source license may control.

13. License Duration and Termination

A valid, un-terminated License may continue for permitted Websites, Projects, and End Products unless:

  • you receive a refund;
  • your payment is reversed;
  • you obtained the License fraudulently;
  • the Asset was used outside the permitted usage limits or restrictions of the License;
  • the Asset was used in an illegal or otherwise prohibited way;
  • we are legally required to terminate access or rights to the Asset.

If an Asset is removed from the Services, your existing License may continue for the permitted Websites, Projects, and End Products, unless we state otherwise. However, an existing License may be terminated if the Asset was removed for one of the following reasons:

  • copyright or other intellectual property complaints;
  • legal violations;
  • fraud;
  • malware or other computer security risks;
  • court order or government request;
  • other legal or safety reasons.

In the event of a payment dispute, chargeback, payment reversal, or fraud claim filed against the purchase of an Asset, we may suspend or terminate the License until the matter is resolved. If a payment is reversed or not successfully completed, the License may be terminated. If a refund is issued, the License will be terminated. Use of an Asset after License termination may be considered unauthorized use.

If the License has been terminated, you must:

  • stop using the Asset and all of its files;
  • delete any downloaded copies of the Asset;
  • remove the Asset from any Websites, Projects, or End Products where reasonably possible;
  • not use the Asset in any new Websites, Projects, or End Products;
  • not claim any continued usage rights to the Asset after License termination.

We reserve the right to refuse future access, downloads, updates, support, or license claims for Assets under terminated Licenses.

14. Asset-Specific Terms

Some Assets may include additional terms or restrictions. If an Asset’s product page states there are additional terms or restrictions, you must follow those terms and restrictions. Where the License Terms conflict with Asset-Specific Terms, we may decide which term applies based on legal requirements and buyer protection needs.
